REAL ESTATE AUCTION TERMS & CONDITIONS

The following Terms and Conditions govern the sale of the real estate offered at public auction by Kevin Neal Auction Service LLC. By registering to bid and placing a bid, each bidder acknowledges that they have read, understand, and agree to be bound by these Terms and Conditions.
1. Seller Confirmation
The property is being offered subject to the Seller's confirmation. The highest bid obtained at auction shall constitute an offer to purchase. The Seller reserves the right to accept or reject the highest bid.
2. Deposit
The successful bidder shall be required to pay a non-refundable deposit immediately upon the close of bidding on auction day.
The deposit amount shall be announced prior to the commencement of bidding and shall be paid by cash, certified funds, cashier's check, personal check, or other form of payment acceptable to the Seller.
The deposit shall be credited toward the purchase price at closing.
Failure to provide the required deposit immediately following the auction shall constitute a default, and the Seller may reject the bidder's offer and pursue any remedies available under law.
3. Purchase Agreement
Immediately following Seller confirmation, the successful bidder shall execute the Agreement of Sale prepared by the Seller or Seller's representative incorporating these Terms and Conditions.
Failure to execute the Agreement of Sale shall constitute a default by the purchaser.
4. Closing
Closing shall occur within forty-five (45) days following Seller acceptance unless otherwise agreed to in writing by both Buyer and Seller.
Time is of the essence.
5. Financing
The sale is not contingent upon the purchaser obtaining financing. Prospective buyers should obtain any desired financing approval prior to the auction.
Failure to obtain financing shall not relieve the purchaser of their obligation to complete the purchase.
6. Property Condition
The property is being sold AS IS, WHERE IS, WITH ALL FAULTS, with no warranties or guarantees, express or implied.
The Seller and Auctioneer make no representations regarding the condition of the property, improvements, mechanical systems, square footage, acreage, boundaries, zoning, utilities, or suitability for any particular purpose.
Prospective purchasers are encouraged to conduct any inspections they deem necessary prior to the auction.
7. Lead-Based Paint Disclosure
This residence was constructed prior to 1978. In accordance with the Residential Lead-Based Paint Hazard Reduction Act of 1992, the Seller shall provide any available Lead-Based Paint Disclosure and related documentation required by federal law.
Prospective purchasers acknowledge that they have been afforded the opportunity to review any available Lead-Based Paint Disclosure documents prior to bidding.
The successful purchaser will receive the required EPA publication, "Protect Your Family From Lead in Your Home," together with any applicable disclosure forms at the execution of the Agreement of Sale.
Except as specifically disclosed in writing, the Seller and Auctioneer make no representations or warranties concerning the presence or absence of lead-based paint or lead-based paint hazards.
8. Buyer's Due Diligence
It is the sole responsibility of each bidder to perform their own due diligence before bidding, including but not limited to:
- Inspection of the property
- Verification of property boundaries
- Review of public records
- Verification of taxes, assessments, easements, restrictions, zoning, and utility information
- Review of any available Lead-Based Paint Disclosure documents and EPA informational materials
By bidding, the purchaser acknowledges satisfaction with the property's condition and all matters affecting title and ownership.
9. Title
Seller shall convey marketable title by deed customarily used in Clarion County, Pennsylvania, free and clear of monetary liens, subject to existing easements, restrictions, rights-of-way, covenants, conditions, zoning regulations, and matters of public record.
10. Taxes and Closing Costs
Real estate taxes, utilities, rents (if applicable), and other customary closing adjustments shall be prorated as of the date of closing.
Buyer and Seller shall each be responsible for their customary closing costs unless otherwise provided in the Agreement of Sale.
11. Possession
Possession shall be delivered to the purchaser at closing unless otherwise agreed to in writing.
12. Buyer's Premium
No Buyer's Premium will be added to the final bid unless otherwise announced by the Auctioneer prior to the commencement of bidding.
13. Default
If the purchaser fails to comply with these Terms and Conditions or fails to close within the prescribed time, the non-refundable deposit shall be forfeited as liquidated damages without limiting any other legal or equitable remedies available to the Seller.
14. Auctioneer
Kevin Neal Auction Service LLC and Kevin Neal, AU006046, are acting solely as agents for the Seller and assume no liability for representations made by the Seller.
15. Announcements
Any announcements made by the Auctioneer on auction day shall take precedence over all printed advertisements, brochures, websites, social media posts, or other promotional materials.
16. Acceptance of Terms
Registration for and participation in this auction constitutes the bidder's acknowledgment that they have read, understood, and accepted these Terms and Conditions in their entirety.
